Verari Systems Acquires MPI Software Technology Inc. and Patents Key Cooling Technology

Strategic Moves Position Company, which was Formerly Known as RackSaver, for Accelerated Growth in Blade Server Market

SAN DIEGO – April 12, 2004 – Verari Systems, previously RackSaver Inc., the premier developer of powerful, platform-independent blade computing systems, announced today the acquisition of MPI Software Technology Inc., the leading independent provider of high-performance software products and related services for managing parallel and cluster computers. The company also announced the allowance of two new patents on its innovative thermal management technology, Vertical Cooling System (VCS), enabling unrivaled blade density. As a result of these strategic moves, RackSaver is changing its name to Verari Systems to better represent its position as a complete, integrated blade computing systems provider.

Ranked by IDC (¹) as the fifth-largest x86 server provider in the U.S., Verari Systems' existing customers include Boeing, Industrial Light and Magic, Lockheed Martin, Motorola, NASA, NVIDIA, Northrop Grumman, Novartis, Pixar, Shell Gas and Oil and Veritas DGC. Today’s announcement underscores Verari Systems’ strong position in the blade server market, the fastest-growing segment of the server sector.

One of today’s most critical customer needs is blade server manageability. Verari Systems' intelligent blade management software and management tools enable customers to accelerate deployment, provisioning, and remote monitoring in order to put thousands of servers to work, seamlessly orchestrating management and maximizing their utilization. By acquiring MPI Software Technology Inc., Verari Systems strengthens its existing manageability suite while gaining an elite group of expert developers in the demanding field of parallel programming environments. Among many installations MPI Software Technology Inc. currently runs are the supercomputers at the National Center for Supercomputing Applications (NCSA) and the Lawrence Livermore National Laboratory, respectively the fourth- and eighth- fastest supercomputers in the world (²).

The MPI Software Technology Inc. executive team and staff will join Verari Systems and immediately collaborate on integrating the companies’ offerings. The integration of MPI Software Technology Inc.’s proven and top-selling software suites for managing and programming parallel applications in high-performance computing environments will be a critical focus area. Verari Systems’ software division will continue to offer its leading software solutions to existing customers as well as new customers who use blade cluster technology from Verari Systems or other providers.

Another key customer need is blade server heat management, which is a growing problem in the data center. Verari Systems pioneered innovative thermal management technologies to package blade servers with the world's fastest standards-based processors in the densest form factor possible. Hot spots are less likely to occur where Verari Systems technology is used due to the patented VCS technology, which cools blade servers from bottom to top, rather than front to back. Along with the intelligent blade management software, the thermal management technology leads to a dramatically lower total cost of ownership for customers' data centers by cutting administration costs, product failures, downtime, and complexity.
